Terms of Service

Effective as of May 2026

Expotools USA Inc. (a Wyoming corporation, hereinafter referred to as "Expotools," "we," "us," or "Company") provides equipment rental, software, and related services for lead retrieval and attendee data capture at trade shows and events. By placing an order through our website or otherwise, you (the "Customer" or "you") agree to be bound by these Terms and Conditions (the "Agreement"). This Agreement constitutes the entire understanding between the parties and supersedes all prior agreements.

1. Services and Rental of Equipment and Software

Expotools agrees to provide the rented equipment and services described in your order (the "Equipment" and "Services") in a timely and professional manner. All Equipment and software, including without limitation the ExpoLeads Mobile App and Intelevents™ AI Assistant, remain the sole and exclusive property of Expotools and are provided to Customer on a time-limited basis only.

Customer is granted a limited, non-exclusive, non-transferable, revocable license to use the software and mobile applications solely during the Event and solely for the purpose of lead retrieval and attendee data capture. Customer has no right to sublicense, copy, modify, or reverse-engineer any software.

2. Contact Policy

By placing this order, you consent to Expotools contacting you by email, phone, or fax for purposes of order fulfillment, service delivery, communicating order information, remitting collected data to you, providing support, and sending transactional or service-related communications. You may opt out of non-essential marketing communications at any time.

Expotools does not sell, rent, or share your contact information with third parties except as required by law or as necessary to provide the Services.

3. Payment Terms

Advance orders must be received and paid in full by the stated deadlines to qualify for early or advance rates. Orders received after the deadlines will be charged at the higher rates then in effect. All prices are in United States dollars. Customer is responsible for all applicable federal, state, and local taxes.

Payment must accompany the order; Services will not be provided until payment in full is received. All orders are non-refundable and non-cancellable. No refunds will be issued for Equipment not picked up or not used.

Credit Card Authorization and Chargeback Policy. By placing an order and providing credit card or other payment method information, Customer expressly and irrevocably authorizes Expotools to charge the provided card for the full price of the Equipment and Services ordered, all applicable taxes, and any additional amounts that become due under this Agreement, including without limitation late return fees, replacement or damage costs, and any other charges for which Customer is responsible.

Customer acknowledges and agrees that all such charges are valid, authorized, and non-refundable except as expressly provided in this Agreement. Customer agrees to resolve any disputes or concerns regarding charges directly with Expotools. Customer shall contact Expotools in writing within thirty (30) days after the close of the Event and attempt in good faith to resolve the matter before initiating any chargeback, reversal, or dispute with its credit card issuer, bank, or payment processor.

Customer shall not initiate a chargeback or dispute except in the case of actual fraudulent or unauthorized use of the credit card. In the event Customer initiates a chargeback or dispute in violation of this Agreement, Customer shall immediately reimburse Expotools for the full amount of the chargeback, all associated bank, processor, or merchant service fees imposed on Expotools, all costs of collection, and reasonable attorneys' fees and expenses incurred by Expotools in contesting the chargeback or recovering the amounts owed. Customer further authorizes Expotools to charge the credit card on file for any such reimbursement amounts. Any chargeback filed in violation of this provision shall constitute a material breach of this Agreement.

4. Loss, Damage, or Non-Return of Equipment

Customer must pick up Equipment at Expotools' service desk, unless the in-booth delivery option was selected at the time of order, prior to the Event. Customer agrees to return all Equipment to Expotools' service desk within one (1) hour after the official close of the show and must obtain a printed receipt. Equipment left in the exhibit hall is Customer's sole responsibility. Customer shall return all Equipment in the same condition as received, ordinary wear and tear excepted.

  • Late return fees: $125 per occurrence, plus $150 per day, up to a maximum of $1,500, beginning one hour after show closing.
  • Non-return: Customer authorizes Expotools to charge the credit card provided at the time of order for any replacement costs, damages, or late fees.
  • Replacement costs are as follows, subject to change upon written notice: BC600 / RF600 reader: $1,580 each; AT725 reader: $2,095; AT750 reader: $2,495; CMP10 printer: $500; AC adapter: $45.

Customer agrees to immediate payment upon request for any loss or damage beyond normal wear and tear.

5. Mobile Application Permissions

Certain permissions are required to use Expotools mobile applications. A complete list of required permissions and the reasons they are needed is available at https://orders.expotools.biz/mobileApp/. By using the applications, you consent to the collection and use of data as described in that policy and in Section 6 below.

6. Liability, Data Retention, Access, and Privacy

Limitation of Liability. Expotools shall not be liable for any special, incidental, indirect, consequential, or punitive damages, including loss of data, lost profits, loss of business, or loss of goodwill, arising out of or related to the Equipment, Services, or this Agreement, even if advised of the possibility of such damages. In no event shall Expotools' aggregate liability exceed the total amount actually paid by Customer for the specific Equipment and Services giving rise to the claim.

Expotools is not responsible for registration services or attendee badge production and makes no guarantees regarding the quality, completeness, accuracy, or encoding of attendee data provided by the show organizer. Expotools does not guarantee any level of booth traffic, leads captured, revenue, return on investment, or overall success at the Event.

Data Privacy. Customer represents and warrants that it has obtained all necessary consents or has a lawful basis under applicable data protection laws, including the California Consumer Privacy Act (CCPA/CPRA), any other state privacy laws, GDPR if applicable, and the show organizer's attendee privacy policy, to provide attendee personal information to Expotools for processing.

Expotools acts solely as a service provider on Customer's behalf and will process such data only as necessary to provide the Services and return the leads to Customer. Expotools will not sell, share, or use attendee personal data for its own purposes. Expotools may, however, collect and use anonymized, aggregated usage statistics, such as scan volume, timing, and system performance metrics, for its internal business purposes.

Expotools will maintain copies of the data collected for a minimum of one (1) year, after which the data is subject to archiving, analysis, or deletion at Expotools' discretion. Upon request and subject to applicable law, Expotools will delete or return Customer's data.

7. Force Majeure and Event Cancellation

In the event of any cause beyond Expotools' reasonable control, including strikes, power failures, civil unrest, fires, floods, epidemics, pandemics, public-health emergencies, government orders, travel restrictions, or any other occurrence that results in the cancellation or postponement of the Event, Expotools' obligations for Services not yet rendered shall automatically terminate. Expotools shall be entitled to retain all payments already received.

8. Miscellaneous

Governing Law and Venue. This Agreement shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to this Agreement shall be brought exclusively in the state or federal courts located in Laramie County, Wyoming, and the parties hereby consent to the personal jurisdiction and venue of such courts.

Indemnification. Customer agrees to indemnify, defend, and hold harmless Expotools, its officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, and expenses, including reasonable attorneys' fees, arising out of or related to Customer's misuse of the Equipment or software, any violation of the show organizer's rules or any applicable data-privacy law by Customer, or any third-party claim related to the leads or data collected by Customer.

Disclaimer of Warranties. EXCEPT AS EXPRESSLY PROVIDED HEREIN, ALL EQUIPMENT AND SERVICES ARE PROVIDED "AS IS." EXPOTOOLS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

Severability. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

No Waiver. Failure of Expotools to enforce any provision shall not constitute a waiver of that provision or any other provision.

Assignment. Customer may not assign this Agreement without Expotools' prior written consent. Expotools may assign this Agreement without restriction.

Electronic Acceptance. Your online acceptance of these Terms, including by checking the "I have READ and AGREE TO the TERMS AND CONDITIONS" box, constitutes a binding electronic signature and agreement.
